Terms and Conditions

Agreement of Virtual Consultation

This contract serves as an agreement between the “Named Member” and SHIR Legal Services. It becomes effective on the date The Named Member pays the membership fee/s and involves services listed in Titles I, with General Limitations and General Provisions listed in Titles I & III.

All services listed in this contract will be provided by paralegals designated by the Company, who are duly licensed, practising paralegal in Ontario.

All requests for services must be directed through the Provider Paralegal in a prompt manner to allow sufficient time for preparation and response.

COMPENSATION

By paying the membership fee/s, the Named Member agrees abide by the terms and conditions and all attached endorsements of this Contract and to provide Shir Legal Services for the Personal Plan.

DEFINITIONS

Named Member” is defined as the person paying the membership fee/s.

Provider Paralegal” is defined as a Licensed Paralegal in Ontario designated by SHIR Legal Services to provide the benefits described in this Contract.
Personal plan” is for the Named Member only.
“One Matter” is defined as one legal issue, legal question or legal problem(No combination)

Email Correspondence” refers to communication by the exchange of one email between company and the Named member.

Membership Year” shall be defined as the period of time beginning on the Effective Date of the Contract, extending for a period of one (1) year thereafter, and each one (1) year period thereafter while this Contract is in force.

JURISDICTION

This Contract only covers legal matters within the Province of Ontario.

TITLE I: LEGAL CONSULTATION AND LEGAL ASSISTANCE BENEFIT

A. The Named Member may receive Online Consultation via email, webinar or video platform(If, in the Provider Paralegal's judgement, the legal matter cannot be adequately addressed via email) concerning THREE legal matters per membership year to the extent that the Provider Paralegal deems it necessary to adequately advise the Named Member on that specific legal matter, see below for limitations and additional details.

B. If, in the Provider Paralegal's judgement, the legal matter cannot be adequately addressed during the initial consultation, the Provider Paralegal will provide up to one (1) hours of legal research concerning the matter at no additional charge. For consultation and advice, the Named Member may email the appropriate email address provided by the company.

LIMITATIONS:

1. This Contract excludes coverage for those matters which the Provider Paralegal determines are raised an inordinate or unreasonable number of times without substantial change of circumstances.

2. Once it has been determined that the Named Member is entitled to coverage under any other section of this Contract, the Named Member shall communicate only with the specific Paralegal handling those matters rather than utilizing the coverage under this section for that legal matter. This limitation is provided to facilitate the most effective representation of the Member.

In summary, the Named Member will ONLY receive the following benefits:

Personal Plan:

Three number of matters per membership year.

For each non-related matter:

  • One email correspondence
  • One (1) hour legal research
  • 20% discount for Shir Legal Servcies Self-representation Package (Title II)

After that, Shir Legal Services would not commence or undertake any legal services on behalf of the Named Member which means Shir Legal Services is not acting for the Named member, and Shir Legal Services will not be taking any steps on behalf of the Named Member in respect of this matter. It is recommended that the Named Member retain a legal representative as soon as possible to ensure the matter is dealt with appropriately and in a timely fashion. Shir Legal Services confirms that it would not have any documents belonging to The Named Member. All documents will be returned to the Named Member or deleted from company’s records at the end of the consultation.

TITLE II: Self-representation Package

Self-representationPackage is NOT included in Personal plan. If the Named Member wishes to receive any of following legal work, he/she is required to purchase the package from Shir Legal Services(Eligible for discount if it is purchased 20 days after the Named Member has enrolled in virtual consultation plan.)

Self-representation package work includes:

  • Preparation of Application and/or notices
  • Draft of Plaintiff/Defendant Claim
  • Draft of Defence
  • Draft of any court or tribunal documents
  • Draft of mutual release
  • Preparation of Motion/Assessment affidavits
  • Preparation of Examination Documents
  • Preparation of Writ documents
  • Preparation of Garnishment documents
  • Consultation session with the client via email

All other legal work is NOT included in Personal plan nor Self-representationPackage . If the Named Member wishes to receive any of following legal work, he/she is required to sign a separate retainer agreement with Shir Legal Services if these services are offered by the company.

All other legal work including but not limited to:

  • Preparation for Trials
  • Disclosure of relevant documents for the Settlement Conference
  • Disclosure of relevant documents for the Trials
  • Court or Tribunal Appearances
  • Court Appearances for Examination, Contempt Hearing and Garnishment Hearings
  • Process Service
  • In person or on the phone consultation or meeting for more than one hour
  • In person or on the phone meeting with other side of dispute
  • Mediation or Negotiation
  • Submission of documents/papers/applications/notices to the court or tribunal
  • Preparation for Settlement Conference
  • Commissioning documents

 

TITLE III: AREAS OF PRACTICE:

The Provider Paralegal ONLY provides legal advice in the following areas of practice:

  • Landlord and Tenant Board
  • Ontario Human Rights Code/Law
  • Ontario Employment Standard Act(Employment Law)
  • Small Claims Court
  • Highway Traffic Act

GENERAL PROVISIONS

All Titles are a part of and are subject to the General Provisions of this Contract.

A. Named Member: The person executing this Contract, who shall be a natural person, is the "Named Member".

B. Specific Exclusions: The following items are specifically excluded and shall not be interpreted as included benefits:

1. Legal Disbursements: Fines, court costs, penalties, expert witness fees, bonds, sureties, any out of pocket expenses, and any matter which the Provider Paralegal determines is resolved or has been raised an unreasonable number of times without substantial change of circumstance.

2. Any person or entity who initiates or participates in a lawsuit against SHIR Legal Services or any of its affiliates, or is named as a defendant or respondent in a lawsuit initiated by SHIR Legal Services, or any of its affiliates, shall be specifically excluded from receiving any of the benefits under any Title of this Contract, during the pendency of such lawsuit or until its resolution.

3. Any matter, issue, consultation, action, proceeding, lawsuit or dispute between the Named Member and the Provider Paralegal or the Named Member and the company.

4. Any matters which are covered by any insurance policy.

C. Paralegal-Client Contract: All benefits provided under Title II herein shall be subject to the terms of a Paralegal-Client Contract to be executed by the Named Member prior to the time services are rendered, which contract shall require payment of anticipated costs and payment of a retainer to the Provider Paralegal to cover reasonably anticipated legal services not covered by this Contract. All determinations of retainers and anticipated costs to be incurred shall be made in the sole discretion of the Provider Paralegal, and eligibility for receipt of benefits hereunder is contingent upon payment of same prior to commencement of legal representation by the Provider Paralegal.

D. Provider Paralegal: The Provider Paralegal is defined as a licensed paralegal in Ontario designated by SHIR Legal Services to provide the benefits described in this Contract. This does not require all legal Services under the Contract to be performed by the Provider Paralegal. The Provider Paralegal or the Company, under certain circumstances, may refer matters to a referral lawyer or paralegal ("Referral Lawyer or Paralegal"). If the Named Member wishes to secure the services of a lawyer or paralegal of his/her choice for any matter arising under this Contract, the Named Member must contact the Provider Paralegal before contacting the lawyer or paralegal of his/her choice. The Provider Paralegal and the lawyer or paralegal of choice shall enter into a contract before services are rendered, such contract setting forth the fees to be paid by the Provider paralegal to the lawyer/paralegal of choice which fees shall be the normal fees per member paid to the Provider Paralegal. If the lawyer/paralegal of choice accepts such contract, the Named Member will be responsible to the lawyer/paralegal of choice secured by the Named Member for any charges other than those covered by the normal fees per member paid by the Provider Paralegal to the lawyer/paralegal of choice.

E. Territory: This Contract provides services within the Province of Ontario.

F. Eligibility Period: The Eligibility Period begins on the Effective Date of the Contract and terminates immediately in the event of cancellation by the Company (Please refer to Section J). Should the Named Member cancel the Contract, either in writing or by non-payment of membership fees, the Eligibility Period shall terminate on either the date the Company receives notice of cancellation or on the due date of the last payment.

G. Settlement of Disputes: In the event of a dispute and in an effort to facilitate early resolution thereof, the parties hereby agree to submit said dispute to binding arbitration. The arbitration shall be conducted pursuant to the rules of the general provincial legislation governing arbitration in the province of Ontario and the unsuccessful party shall be responsible for the legal fees of the prevailing party. If, notwithstanding the above, Shir Legal Services is found to be liable to the member and/or any other person in connection with the Services provided to a Named Member, including, without limitation, in connection with damage, accidents or injuries that may occur following Service and whether in tort, contract or otherwise, Shir Legal Service’s liability is limited to the amount of the fee paid for the membership fee. For greater clarity this means that if the Named Member sues the Shir Legal Services, any damages awarded cannot exceed the cost of the membership fee(which shall include legal costs) in respect of the aggregate of all claims during any consecutive period of 12 months.

H. Duplication of Coverage: Services shall be provided under the section the Provider Paralegal determines is most relevant to the existing legal need. The Services contained in this Contract are mutually exclusive and coverage will not be provided under more than one Service for any legal matter. Those covered may not secure services from the Provider Paralegal for the same matter under more than one Company Contract, regardless of the number of such contracts owned

I. Change of Contract: No change in the Contract shall be valid until approved by an officer of the Company and unless such change is endorsed on or attached to the Contract. No agent or sales associate has authority to change the Contract or to waive any of its provisions. A thirty (30) day notice will be given should there be any change in this Contract.

J. Cancellation of Contract: The Named Member may cancel the Contract at any time by giving written notice to the Company. Upon written request, the Named Member shall be entitled to be reimbursed by the Company the unused portion of the membership fees paid for this Contract, the amount to be calculated on a pro-rata basis. The Company may cancel this Contract for fraud, or intentional misrepresentation of any facts in the application form or of any matter submitted to the Provider Paralegal, an attempt to utilize services for a person or entity not eligible for services pursuant to this Contract, for non-payment of monthly and or annual membership or consultation fees or if the Provider Paralegal determines, in his/her Professional Judgement, the Named Member is unable, unwilling or incapable of accepting or understanding legal advice and services. All Services will automatically terminate at the end of the Eligibility Period.

If the membership is paid annually:

One Matter = 30% refund

Two or more Matters = 0% refund

If the membership is paid monthly:

One matter or more = 0% refund for that month

K. Provider Paralegal's Professional Judgement: It is within the sole discretion of the Provider Paralegal to determine whether to bring or defend a proceeding, or assert or controvert any issue therein, in any instance where the Provider Paralegal reasonably believes the matter is frivolous, unmeritorious or where the Provider Paralegal cannot put forth a good faith argument for an extension, modification or reversal of existing law. The Provider Paralegal will make the decision whether to take any contingency case or to appeal any judgement or decision. The Provider Paralegal reserves the right to make independent professional judgements. The Provider Paralegal will use his/her professional expertise to the fullest benefit of his/her client's cause and nothing in this Contract shall be construed as compelling the Provider Paralegal to use a legal procedure in a manner contrary to the Code of Professional Conduct or other rules which the Provider Paralegal is bound by.

L. Renewal Procedure: For Named Member’s convenience, there is an automatic renewal process. Named Member's Plan will renew each year on the anniversary of his/her membership year unless the Named Member has given Shir Legal Services notice prior to his/her anniversary of this agreement that he/she does not wish to renew this agreement, or Shir Legal Services has given the Named Member notice prior to end of the membership year date that this agreement will not be renewed, without change in the Named Member's Contract.

M. Change in Fees: The Company reserves the right to change the established membership fee for this contract. Changes in the membership fee will only occur after the current payment period has expired(Monthly or Annually). Should the membership fee be changed, the Named Member will be given a thirty (30) day written notice at the Named Member's address according to the records of the Company.

N. The Company: Any reference to the "Company" in this Contract refers to SHIR Legal Services.

O. Examination Right: The Named Member shall have 10 days after delivery to examine the Contract. If not satisfied for any reason, the Member may send written notice rescinding the contract and have the paid membership fee refunded (If no service has been used by the Named Member). Upon the delivery of written notice of rescission of the Contract to the Company within 10 days of delivery, the contract shall be void from the beginning and the parties shall be in the same position as if this contract had not been issued.

P. Mutual Cooperation: The Named Member shall cooperate with the provider Paralegal for the effective provision of legal services and at all times conduct the relationship with professionalism and mutual respect.

Q. Reinstatement Procedure: The Named Member may seek to reinstate this Contract after cancellation if the contract is still offered by the Company. The Company, at its sole discretion, may reinstate this Contract upon payment by the Named Member of the appropriate fee. The Effective Date of the reinstatement and availability of Services shall be the date the reinstatement is accepted and processed by the Company. Services are not available for any act or occurrence during the lapse period.

R. Severability: If any provision of this Contract is deemed invalid or unenforceable in any respect, such provision shall be, to the extent possible, reformed to make it effective. If any provision is deemed invalid and incapable of being reformed, it shall not impact the validity and enforceability of all other provisions of this Contract, which shall remain valid and enforceable.

S. Subrogation: If the Company or Provider Paralegal makes a payment under this Contract and the person to or for whom payment was made has a right to recover damages from another, the Company or Provider Paralegal shall be subrogated to that right.

T. Release of Information: Any Named Member, directly or by survey, submitting to the Company complaints about or inquiries concerning a Provider Paralegal's services, authorizes the Provider Paralegal to disclose to the Company any and all communications between the Member and the Provider Paralegal, including privileged and confidential information, in order to respond to such complaints or questions.

U. Adequate and Timely Notice: To be entitled to receive services under this Contract, the Named Member must submit to the Provider Paralegal adequate facts and documents in a timely manner in order to allow a paralegal time to review the facts and documents, enter into a retainer agreement with the Member when appropriate, and provide legal assistance as required by this Contract. Failure to timely submit adequate documents and facts to the Provider Paralegal shall render any obligation of the Provider Paralegal to enter an appearance in the matter, or to provide any other Services, null and void.

V. Force Majeure Shir Legal Services is not responsible for failing to perform its obligations or for any loss to the Named Member under this Agreement if the company is prevented from doing so by events or circumstances beyond its control.

 

Agreement of Self-representation Package

This contract serves as an agreement between the “Named Member” and SHIR Legal Services. It becomes effective on the date The Named Member pays the Self-representation Package fee/s and involves services listed in Titles I, with General Limitations and General Provisions listed in Titles I & III.

All services listed in this contract will be provided by paralegals designated by the Company, who are duly licensed, practising paralegal in Ontario.

All requests for services must be directed through the Provider Paralegal in a prompt manner to allow sufficient time for preparation and response.

COMPENSATION

By paying the self-representation package fee/s, the Named Member agrees abide by the terms and conditions and all attached endorsements of this Contract and to provide Shir Legal Services for the Self-representation Package.

Provider Paralegal” is defined as a Licensed Paralegal in Ontario designated by SHIR Legal Services to provide the benefits described in this Contract.
Self-representation Package” is for the Named Member only.

One number of matter.

For this matter:

  • Preparation of Application and/or notices
  • Draft of Plaintiff/Defendant Claim
  • Draft of Defence
  • Draft of any court or tribunal documents
  • Draft of mutual release
  • Preparation of Motion/Assessment affidavits
  • Preparation of Examination Documents
  • Preparation of Writ documents
  • Preparation of Garnishment documents
  • Consultation Session with the Client via email
  • Legal Research

  • Preparation for Trials
  • Disclosure of relevant documents for the Settlement Conference
  • Disclosure of relevant documents for the Trials
  • Court or Tribunal Appearances
  • Court Appearances for Examination, Contempt Hearing and Garnishment Hearings
  • Process Service
  • In person or on the phone consultation or meeting for more than one hour
  • In person or on the phone meeting with other side of dispute
  • Mediation or Negotiation
  • Submission of documents/papers/applications/notices to the court or tribunal
  • Preparation for Settlement Conference
  • Commissioning documents

Paralegal-Client Contract: All benefits provided under Title II herein shall be subject to the terms of a Paralegal-Client Contract to be executed by the Named Member prior to the time services are rendered, which contract shall require payment of anticipated costs and payment of a retainer to the Provider Paralegal to cover reasonably anticipated legal services not covered by this Contract. All determinations of retainers and anticipated costs to be incurred shall be made in the sole discretion of the Provider Paralegal, and eligibility for receipt of benefits hereunder is contingent upon payment of same prior to commencement of legal representation by the Provider Paralegal.

D. Provider Paralegal: The Provider Paralegal is defined as a licensed paralegal in Ontario designated by SHIR Legal Services to provide the benefits described in this Contract. This does not require all legal Services under the Contract to be performed by the Provider Paralegal. The Provider Paralegal or the Company, under certain circumstances, may refer matters to a referral lawyer or paralegal ("Referral Lawyer or Paralegal"). If the Named Member wishes to secure the services of a lawyer or paralegal of his/her choice for any matter arising under this Contract, the Named Member must contact the Provider Paralegal before contacting the lawyer or paralegal of his/her choice. The Provider Paralegal and the lawyer or paralegal of choice shall enter into a contract before services are rendered, such contract setting forth the fees to be paid by the Provider paralegal to the lawyer/paralegal of choice which fees shall be the normal fees per member paid to the Provider Paralegal. If the lawyer/paralegal of choice accepts such contract, the Named Member will be responsible to the lawyer/paralegal of choice secured by the Named Member for any charges other than those covered by the normal fees per member paid by the Provider Paralegal to the lawyer/paralegal of choice.

The Company may cancel this Contract for fraud, or intentional misrepresentation of any facts in the application form or of any matter submitted to the Provider Paralegal, an attempt to utilize services for a person or entity not eligible for services pursuant to this Contract, for non-payment of consultation fees or if the Provider Paralegal determines, in his/her Professional Judgement, the Named Member is unable, unwilling or incapable of accepting or understanding legal advice and services. All Services will automatically terminate at the end of the Eligibility Period.

Release of Information: Any Named Member, directly or by survey, submitting to the Company complaints about or inquiries concerning a Provider Paralegal's services, authorizes the Provider Paralegal to disclose to the Company any and all communications between the Member and the Provider Paralegal, including privileged and confidential information, in order to respond to such complaints or questions.

S. Adequate and Timely Notice: To be entitled to receive services under this Contract, the Named Member must submit to the Provider Paralegal adequate facts and documents in a timely manner in order to allow a paralegal time to review the facts and documents, enter into a retainer agreement with the Member when appropriate, and provide legal assistance as required by this Contract. Failure to timely submit adequate documents and facts to the Provider Paralegal shall render any obligation of the Provider Paralegal to enter an appearance in the matter, or to provide any other Services, null and void.

T. Force Majeure Shir Legal Services is not responsible for failing to perform its obligations or for any loss to the Named Member under this Agreement if the company is prevented from doing so by events or circumstances beyond its control.
